License Agreement for 12-Month Library Subscription

This Subscription License Agreement is for the purpose of allowing access to the entire Brandon Hall Research “Library,” defined as all of our current reports, plus our Web-based KnowledgeBases, plus any additional reports or KnowledgeBases released during the period of licensed access (12 months to the day following the “effective date” of this agreement). This license does not include access to retired Reports.

FOR A SINGLE SEAT LICENSE:

Access to the Library is limited to one user. The Reports are for informational purposes only for the benefit of the purchaser and the purchasing organization. You have the right to download the online Report (in PDF, Word, or Excel format) to your computer. The single purchase of an online Report is limited to one computer only. The file may not be distributed or made available on a file server, intranet, or Internet for others to view. You have the right to print a single paper copy of the Report from the file. You are responsible for ensuring that proper business restricted access (with passwords or other verification process) will be applied.

FOR AN ENTERPRISE LICENSE PURCHASED BEFORE 1 JANUARY 2007:

Access to the Library is permitted for all members of your enterprise. The Reports are for informational purposes only for the benefit of the purchaser and the purchasing organization. Each member of your organization has the right to download the online Reports (in PDF, Word, or Excel format) to your computer. The files may not be distributed or made available on a file server, intranet, or Internet for others to view. Each member of your organization has the right to print a single paper copy of the Report from the file. You are responsible for ensuring that proper business restricted access (with passwords or other verification process) will be applied. Usernames and passwords cannot be distributed outside of your organization.

FOR AN ENTERPRISE LICENSE PURCHASED AFTER 1 JANUARY 2007:

Access to the Library is permitted for 25 members of your enterprise. The Reports are for informational purposes only for the benefit of the purchaser and the purchasing organization. Twenty-five members of your organization have the right to download the online Reports (in PDF, Word, or Excel format) to your computer. The files may not be distributed or made available on a file server, intranet, or Internet for others to view. Twenty-five members of your organization have the right to print a single paper copy of the Report from the file. You are responsible for ensuring that proper business restricted access (with passwords or other verification process) will be applied. Usernames and passwords cannot be distributed outside of your organization.

This agreement specifically prohibits redistribution (including photocopying, e-mailing, posting without restriction), transfer or resale of any part of the Library internally or externally without the written consent of Brandon Hall Research. You may not copy, modify, reproduce, republish, distribute, display, or transmit for commercial, nonprofit, or public purposes or, reverse engineer, disassemble or create derivative works of all or any portion of any Report. Any unauthorized use of any Report is prohibited. Information in the Library may not be quoted in any medium/media, especially for marketing purposes, without prior written authorization from Brandon Hall Research.

The information in the Library is copyrighted and licensed (not sold). Brandon Hall Research does not sell or transfer title of the Library to you. Your license will not commence until you have executed this agreement and an authorized representative of Brandon Hall Research has received payment, approved, and executed this agreement. Once payment is received, an e-mail confirmation will be sent with the information needed to access the Library.

This is the complete and exclusive statement of the agreement between the parties, and this license supersedes all proposals or prior agreements, oral or written, and all other communication between the parties relating to the subject matter of the agreement.

The date the access information is e-mailed will be considered the Effective Date, the 12-month term will begin, and no full or partial refund will be given.
